The absolute maximum licenses that can be assigned in an academic year is 100 (small), 250 (medium), and 500 (large). Additional licenses can be added above the limit as required. Our pricing is designed for reasonable flexibility around expected instructional usage and supports typical enrollment variability.E.g., if you expect two semesters, two sections per semester, and 40 students per section in a Corporate Finance I class (160 students total), Medium is the right size for you.

1. Introduction

The Northward Company LLC ("Company," "we," "us," or "our") operates Lingo Trainer, a Microsoft Excel add-in designed to help individuals practice financial modeling and finance vocabulary (the "Add-in"). This Privacy Policy explains what information we collect, how we use it, and the choices available to you. By installing or using the Add-in, you agree to the practices described in this Privacy Policy.

2. Information We Collect

2.1 Information You Provide Directly

We collect the following information that you voluntarily provide:

  • License Key. When you activate a paid or demo license, we receive and validate your license key against our records. The license key may be associated with the email address you provided at the time of purchase.
  • Username. If you choose to participate in the leaderboard, you may enter a display name. Participation is entirely optional and disabled by default. If you do not enter a username, any leaderboard entry will appear as Anonymous.
  • Payment Information. Payments are processed by Stripe, Inc. We do not receive, store, or process your credit card number, bank account details, or other financial credentials. Please review Stripe's Privacy Policy at https://stripe.com/privacy.

2.2 Information Collected Automatically

When you use the Add-in, we may automatically collect the following:

  • Exercise Performance Data. If leaderboard participation is enabled by you, we receive aggregate scoring data (e.g., exercises completed, scores, elapsed time) to populate the leaderboard. This data is not collected if you have not opted in.
  • License Validation Requests. When the Add-in validates your license, our server logs may record a timestamp and the result of the request. We do not log your IP address for identification purposes.
  • Error Logs. In the event of an application error, error type and context (but not the contents of your Excel workbook) may be recorded to support debugging.

2.3 Information We Do Not Collect

  • The contents of your Excel workbooks or spreadsheets.
  • Any financial data, client data, or proprietary information present in your Excel environment.
  • Precise geolocation data.
  • Browsing history or data from outside the Add-in environment.
  • Any personal information from users under the age of 13.

3. How We Use Your Information

  • License Validation. To verify that your license key is valid and active, and to deliver the features associated with your license tier.
  • Leaderboard Operation. To display your chosen username and score on the leaderboard, solely if you have opted in.
  • Product Improvement. To identify and fix errors and to improve the functionality of the Add-in.
  • Customer Support. To respond to inquiries or support requests you submit to us.
  • Legal Compliance. To comply with applicable laws, regulations, or legal process.

We do not use your information for advertising, behavioral profiling, or sale to third parties.

4. Data Storage and Security

Local storage within the Add-in (including your license key, difficulty settings, mode preferences, and local exercise progress) is maintained using Microsoft's OfficeRuntime.storage API, which stores data locally on your device and is not transmitted to our servers except as described in Section 2.

Data transmitted to our servers is processed and stored using Cloudflare's infrastructure, including Cloudflare Pages, Workers, R2 object storage, and D1 database services. Cloudflare provides industry-standard encryption in transit (TLS) and at rest. For more information, please review Cloudflare's Privacy Policy at https://www.cloudflare.com/privacypolicy/.

We implement reasonable administrative and technical safeguards designed to protect the information we hold. However, no method of transmission or storage is one hundred percent secure, and we cannot guarantee absolute security.

5. Data Retention

License validation records and leaderboard entries are retained for as long as your license is active or as necessary to operate the leaderboard feature. You may request deletion of your leaderboard entry at any time by contacting us. Local device data managed through OfficeRuntime.storage persists until you clear it through the Add-in's interface or uninstall the Add-in.

6. Sharing of Information

We do not sell, rent, or trade your personal information to third parties. We may share information only in the following limited circumstances:

  • Service Providers. We share information with Cloudflare (infrastructure) and Stripe (payment processing) solely to the extent necessary to operate the Add-in and process payments. These providers are contractually bound to use your information only as directed by us.
  • Legal Requirements. We may disclose information if required to do so by law, regulation, subpoena, or court order, or where we believe in good faith that disclosure is necessary to protect our rights or the safety of others.
  • Business Transfers. In the event of a merger, acquisition, or sale of assets, your information may be transferred to the acquiring entity. We will notify you by updating this Privacy Policy prior to any such transfer.

7. Leaderboard and Public Data

If you opt into the leaderboard, your chosen username and aggregate score will be visible to other users. Please do not enter your real name, email address, or any other personally identifying information as your leaderboard username. We are not responsible for information you voluntarily make public through this feature.

You may opt out at any time through the Add-in settings. Upon opt-out, your entry will no longer appear on the leaderboard.

8. Children's Privacy

The Add-in is intended for users who are at least 13 years of age. We do not knowingly collect personal information from children under 13. If you believe we have inadvertently collected such information, please contact us immediately and we will take steps to delete it.

9. Your Rights and Choices

Depending on your jurisdiction, you may have the right to access, correct, delete, restrict, or port your personal information. To exercise any of these rights, please contact us at [email protected]. We will respond within a reasonable timeframe and in accordance with applicable law. We do not discriminate against users who exercise their privacy rights.

10. California Residents (CCPA/CPRA)

We do not sell or share personal information as defined under California law. We do not use sensitive personal information for purposes beyond those permitted by California law. For California-specific requests, please contact us and indicate that your request is made pursuant to California law.

11. International Users

The Add-in is operated from the United States. If you are accessing the Add-in from outside the United States, your information may be transferred to, stored, and processed in the United States. By using the Add-in, you consent to this transfer.

12. Third-Party Links and Services

The Add-in may contain links to third-party websites or resources, including the Wyoh and Galaxy features which may open external web pages. This Privacy Policy does not apply to those third-party sites.

13. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. When we do, we will post the revised Policy on our website and update the effective date. Your continued use of the Add-in after the effective date constitutes your acceptance of the revised terms.

PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING LINGO TRAINER. BY INSTALLING, ACTIVATING, OR USING THE ADD-IN, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE ADD-IN.

1. Parties and Definitions

This End User License Agreement ("Agreement") is entered into between The Northward Company LLC, an Ohio limited liability company ("Licensor," "we," "us," or "our"), and the individual or entity installing or using the Add-in ("Licensee," "you," or "your").

  • "Add-in" means the Lingo Trainer Microsoft Excel add-in software, including all exercises, content, updates, and documentation provided by Licensor.
  • "License" means the limited right to use the Add-in granted to you under this Agreement.
  • "License Key" means the unique alphanumeric code that activates full or demo access to the Add-in.

2. Grant of License

2.1 License Tiers

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Add-in solely for your personal, non-commercial use as follows:

  • Demo License. A no-cost, limited-access license providing access to a subset of exercises. No payment is required. The demo license may be revoked or modified at any time.
  • Full License. A paid license providing access to the complete exercise library as described on the Licensor's website at the time of purchase. License terms are as specified at the time of purchase.

2.2 Individual Use Only

Licenses are issued for individual use only. A single license may not be shared among multiple users. Institutional or multi-seat licensing is not currently available except pursuant to a separate written agreement with Licensor. You may install the Add-in on multiple devices that you personally own or control, provided that only you use the Add-in under your License.

2.3 Scope Limitations

The license granted herein does not include the right to:

  • Sublicense, sell, resell, transfer, assign, or otherwise dispose of the Add-in or any License Key.
  • Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Add-in, except to the extent expressly permitted by applicable law.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Add-in.
  • Use the Add-in for any commercial purpose, including providing training services to third parties, without prior written authorization from Licensor.
  • Share, publish, or distribute any exercise content, scoring logic, or other proprietary content included in the Add-in.

3. License Keys

Your License Key is personal to you. You are responsible for maintaining its confidentiality and for all use of the Add-in under your License Key. If you believe your License Key has been compromised, notify us immediately at [email protected]. Licensor reserves the right to deactivate a License Key that has been shared in violation of this Agreement.

4. Intellectual Property

The Add-in, including all software, exercises, exercise content, scoring algorithms, design, and trademarks (including "Lingo Trainer" and "The Gym For Finance"), is and remains the exclusive property of Licensor or its licensors. This Agreement does not convey to you any ownership interest in or to the Add-in. All rights not expressly granted herein are reserved by Licensor.

You acknowledge that the exercise content, including the exercise scenarios, prompts, formulas, and pedagogical structure, constitutes proprietary educational content and trade secrets of Licensor.

5. Payments and Refunds

Full License fees are charged at the time of purchase and processed through Stripe, Inc. All fees are stated in United States dollars and are exclusive of applicable taxes, which are your responsibility.

Refund requests may be submitted to [email protected] within seven (7) days of purchase, provided that you have not completed more than ten (10) exercises under the License. All sales are otherwise final. Licensor reserves the right to make exceptions at its sole discretion.

6. Updates and Modifications

Licensor may, in its sole discretion, release updates, patches, or new versions of the Add-in. Licensor is not obligated to provide updates or to maintain backward compatibility with any particular version of Microsoft Excel or the Microsoft 365 platform. Licensor reserves the right to modify, suspend, or discontinue any feature or the Add-in as a whole at any time, with or without notice.

7. Acceptable Use

You agree to use the Add-in only for lawful purposes and in accordance with this Agreement. You agree not to:

  • Attempt to bypass or circumvent license validation, copy protection, or any other security feature of the Add-in.
  • Use automated scripts, bots, or other tools to interact with the Add-in in a manner not intended by Licensor.
  • Interfere with the integrity or performance of the Add-in or its associated backend services.
  • Attempt to gain unauthorized access to any portion of the Add-in's backend infrastructure.
  • Use the Add-in in any manner that violates applicable federal, state, local, or international law or regulation.

8. Leaderboard

The leaderboard feature is optional and disabled by default. If you elect to participate, you grant Licensor a limited, non-exclusive license to display your chosen username and aggregate score for other Add-in users to view. You are responsible for ensuring that your chosen username does not infringe the intellectual property rights of any third party and does not contain offensive, defamatory, or otherwise unlawful content. Licensor reserves the right to remove any username or leaderboard entry at its sole discretion.

9. Privacy

Your use of the Add-in is subject to the Licensor's Privacy Policy, available at https://www.getlingotrainer.com/privacy, which is incorporated into this Agreement by reference. By using the Add-in, you consent to the data practices described in the Privacy Policy.

10. Disclaimer of Warranties

THE ADD-IN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE ADD-IN WILL BE UNINTERRUPTED OR ERROR-FREE.

THE EXERCISE CONTENT IS FOR EDUCATIONAL AND TRAINING PURPOSES ONLY. IT DOES NOT CONSTITUTE FINANCIAL, INVESTMENT, LEGAL, OR PROFESSIONAL ADVICE OF ANY KIND.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE ADD-IN.

IN NO EVENT SHALL LICENSOR'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) TWENTY-FIVE UNITED STATES DOLLARS ($25.00).

12. Indemnification

You agree to defend, indemnify, and hold harmless Licensor and its officers, directors, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Add-in in violation of this Agreement; (b) your violation of any applicable law; (c) your violation of any third-party rights; or (d) any content you submit to the leaderboard or other user-facing features.

13. Term and Termination

This Agreement is effective upon your first installation or use of the Add-in and continues until terminated. Licensor may terminate your License Key immediately, without notice or liability, if you breach any term of this Agreement. Upon termination, you must immediately cease all use of the Add-in and delete all copies in your possession. You may terminate at any time by uninstalling the Add-in and ceasing all use. Sections 4, 10, 11, 12, 14, 15, 16, and 17 survive termination of this Agreement.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Ohio, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in Cuyahoga County, Ohio. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement or misappropriation of intellectual property rights. You and Licensor waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Export Compliance

You agree to comply with all applicable United States and foreign export control and sanctions laws and regulations. You represent and warrant that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.

16. Entire Agreement and Severability

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Licensor with respect to the Add-in. If any provision is found invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. Licensor's failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

17. Amendments

Licensor reserves the right to modify this Agreement at any time. When material changes are made, Licensor will post the updated Agreement on its website and update the effective date. Your continued use of the Add-in after any modification constitutes acceptance of the revised Agreement.

Refund Policy

If you experience a technical issue that prevents Lingo Trainer from functioning properly on a supported version of Excel, please contact us via the support email at the bottom of the website and we will work to resolve the issue promptly.

Because Lingo Trainer includes immediately accessible digital content, purchases are generally non-refundable once a license key has been activated. However, we understand that issues can arise. Reasonable refund requests made shortly after purchase can be considered on a case-by-case basis.

ESG Commitment

We commit 5% of gross revenue from Lingo Trainer license sales to carbon removal, fulfilled through the Stripe Climate program. This contribution is funded entirely within our margin — no surcharge to you.
